Terms of Service

The terms that apply when you use HRjects, written in plain English.

These terms are an agreement between you and the operator of HRjects ("HRjects", "we", "us"). HRjects is a product name for now; when it is registered under a company, these terms will name that company. They cover your use of the HRjects website and application (the "service"). Please read them. We have tried to keep them short and clear.

1. Accepting these terms

By creating an account, accepting an invitation or using the service, you agree to these terms and to our Privacy Policy. If you use the service on behalf of a company or other organization, you confirm that you have the authority to accept these terms for it, and "you" means that organization as well as you personally. If you do not agree, do not use the service.

2. Accounts and eligibility

  • The service is for business use. It is not intended for personal, family or household purposes.
  • You must be at least 18 years old to use it.
  • You sign in with a one-time link sent to your email address. You are responsible for keeping your email account secure, and for activity that happens through your account.
  • Give us accurate information, and tell us at support@hrjects.com if you believe someone has used your account without permission.

3. Workspaces and roles

Content in the service belongs to a workspace. The Owners of a workspace control it. They decide who is invited, what role each person has, and whether the workspace is exported or deleted. If you were invited to a workspace or a project, the Owners of that workspace control the content you add to it.

4. Your content

"Customer content" means the information you and people in your workspace put into the service, such as plans, tasks, process steps, checklists and issue descriptions.

  • You own it. We claim no ownership of customer content.
  • You give us a license to host it. You grant us a limited, non-exclusive license to host, store, copy, transmit and display customer content only as needed to provide, maintain and secure the service for you, and to meet legal obligations.
  • You are responsible for it. You confirm that you have the rights needed to put the content into the service and that doing so does not break any law or agreement.
  • We do not sell it. We do not sell customer content or use it for advertising.

5. Acceptable use

The service is designed for project information. It is not designed to hold sensitive personal data. You agree that you will not:

  • upload or enter employee records, pay data, government identification numbers, health information or other sensitive personal details about any person;
  • use the service to break the law or to infringe anyone's rights;
  • upload malicious code, or try to disrupt, overload or damage the service;
  • try to access another customer's data, or probe or test the security of the service without our written permission;
  • get around access controls or usage limits;
  • resell the service or offer it to third parties as your own product, except that you may invite your clients and partners to your projects using the roles the service provides;
  • copy, reverse engineer or build a competing product from the service, except where the law does not allow this restriction;
  • use automated means to collect data from the service, other than the export feature we provide.

We may remove content or suspend access if we reasonably believe these rules have been broken. Where we can, we will tell you first and give you a chance to fix the problem.

6. Free preview and future paid plans

The service is currently offered as a free preview. Paid plans are not on sale yet. We have published the prices we intend to charge, and those may change before paid plans open.

When paid plans become available, they will be optional. We do not hold payment details, and we will not charge you unless you choose a paid plan and agree to its price and billing terms. Features and limits of the free plan may change, and we may set limits on the free plan such as the number of projects or editors.

7. Availability and changes to the service

During the preview, the service is provided "as is" and "as available". We do not promise any level of uptime. The service may be interrupted, may contain errors, and may change. We may add, change or remove features, including features described as planned on our website. Planned features are not commitments.

You are responsible for keeping your own copies of content you cannot afford to lose. Workspace Owners can export their workspace data at any time.

8. Ending your use, and data deletion

  • You can stop at any time. Any user can delete their own account. A workspace Owner can delete the workspace.
  • Removed projects. A project that is removed is erased 30 days after removal.
  • We can suspend or end access. We may suspend or close an account or workspace that breaks these terms, that creates risk for the service or for other customers, or where the law requires it. We may also stop offering the service altogether. If we close the service, or close your workspace for a reason other than a breach of these terms, we will give reasonable notice by email where we can, so Owners can export their data.
  • After deletion. When an account or workspace is deleted, we delete its data from the live service. Copies may remain for a limited time in systems run by our hosting provider.

Sections that by their nature should continue after these terms end will continue, including sections 4, 9, 10, 11, 12 and 13.

9. Intellectual property

We and our licensors own the service, including its software, design, templates, text, the HRjects name and its logos. These terms give you a limited, non-exclusive, non-transferable right to use the service for your internal business purposes while these terms apply. They do not give you any other rights in the service.

You may use the templates in the service to run your own projects, and you may save and reuse your own templates within the service.

If you send us feedback or suggestions, we may use them without restriction or payment. You are under no obligation to send any.

10. Disclaimers

To the fullest extent the law allows, we provide the service without warranties of any kind, whether express, implied or statutory. This includes implied warranties of merchantability, fitness for a particular purpose and non-infringement.

The service is a planning and tracking tool. Templates, checklists, exit criteria, readiness scores, Go and No-go results, business case figures and articles on our website are general information. They are not legal, tax, payroll, accounting, employment or other professional advice. The service does not check your payroll, your data or your compliance with any law. You are responsible for your decisions, including any decision to go live with a system, and for checking your results with qualified professionals.

11. Limitation of liability

To the fullest extent the law allows:

  • neither we nor our suppliers will be liable for any indirect, incidental, special, consequential or punitive damages, or for lost profits, lost revenue, lost data, payroll errors or business interruption, even if we were told such damages were possible; and
  • our total liability for all claims relating to the service or these terms will not be more than the greater of (a) the amount you paid us for the service in the 12 months before the event giving rise to the claim, or (b) 100 US dollars.

Some places do not allow some of these limits. In those places, the limits apply only as far as the law allows.

12. Indemnity

You agree to defend and indemnify HRjects against claims, damages, losses and reasonable costs (including legal fees) brought by a third party that arise from your customer content, from your breach of these terms, or from your use of the service in violation of the law. We will tell you promptly about any such claim and cooperate reasonably in its defense.

13. Governing law

HRjects is operated from the United States, and these terms are governed by United States law and the law of the state where HRjects' operator is based. When HRjects is registered under a company, we will name that state here.

14. Changes to these terms

We may update these terms. When we make a change that matters, we will update the effective date above and tell you through the service or by email before the change takes effect. If you keep using the service after the new terms take effect, you accept them. If you do not agree, stop using the service and delete your account.

15. General

  • These terms and the Privacy Policy are the whole agreement between us about the service.
  • If a court finds part of these terms unenforceable, the rest still applies.
  • If we do not enforce a right, that does not waive it.
  • You may not transfer these terms without our written consent. We may transfer them as part of a merger, acquisition or sale of assets.
  • Neither of us is responsible for delay or failure caused by events outside our reasonable control.
